Acceptance of Terms

By accessing or using InvestLyft ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

Description of Service

InvestLyft is an investor management platform that provides cap table management, fundraising tools, investor communications, fund management, investment club management, and related services for startups, funds, and investment clubs.

Account Responsibilities

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to use the Platform.

Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Upload or share content that infringes intellectual property rights
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the Platform or its infrastructure
  • Use the Platform to store or transmit malicious code
  • Scrape, crawl, or otherwise extract data from the Platform without authorization
  • Use the AI agent to generate content that violates applicable laws

Subscription and Billing

InvestLyft offers Free, Starter, Growth, and Enterprise subscription tiers. Paid subscriptions are billed monthly or annually through Stripe. You can manage your subscription, update payment methods, and view invoices through the Stripe Customer Portal accessible from your Settings page.

Free trials, when offered, begin on the date of subscription creation. At the end of the trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.

Refunds are handled on a case-by-case basis. Contact support@investlyft.com for refund requests.

Intellectual Property

The Platform, including its design, code, features, and documentation, is the property of InvestLyft, Inc. and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of the data you enter into the Platform.

Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to our collection and use of data as described in the Privacy Policy.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVESTLYFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM.

InvestLyft is not a law firm, accounting firm, or financial advisor. The Platform provides tools and information for informational purposes only. You should consult qualified professionals for legal, tax, and financial advice.

Indemnification

You agree to indemnify and hold harmless InvestLyft, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time through the Settings page. Upon termination, your right to use the Platform ceases immediately. Data deletion follows the process described in our Privacy Policy.

Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Denver, Colorado.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
